Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and CupidCompanies ("Company," "we," "us," or "our") governing your access to and use of CupidCalendar, including our website, applications, learning modules, assessments, communications, content, software, and related services (collectively, the "Service").

By creating an account, joining the waitlist, accessing, or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.

This document is a business-ready draft. Before public launch of regulated features, it will be reviewed by qualified legal counsel for your exact product configuration, jurisdictions, and vendor stack.

1.Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By using the Service, you represent and warrant that you satisfy these requirements.

If you use the Service on behalf of a business, organization, counseling practice, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2.Nature of the Service

The Service is designed to support relationship education, communication, self-reflection, wellness-oriented learning, and related digital experiences. It may include content on topics such as emotional intimacy, communication styles, relationship dynamics, and other adult relationship topics.

The Service is provided for educational, informational, organizational, and wellness-support purposes only.

No medical or mental health treatment

The Service is not medical care, psychotherapy, psychiatric care, crisis response, or legal advice. Nothing in the Service is intended to diagnose, treat, cure, or prevent any medical, mental health, or relationship condition.

If you are in crisis or believe you or another person may be in immediate danger, do not rely on the Service. Contact emergency services or a licensed professional immediately.

3.Account Registration and Security

To access some features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activity under your account; and
  • promptly notifying us at support@cupidcompanies.com if you suspect unauthorized access or misuse.

We may suspend or terminate accounts that are fraudulent, abusive, unlawful, or in violation of these Terms.

4.User Content

You may submit content through the Service, including profile information, journal entries, assessments, reflections, and other material (collectively, "User Content"). You retain ownership of your User Content, subject to the rights you grant below.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and use that User Content solely as needed to:

  • operate, provide, secure, maintain, and improve the Service;
  • deliver features you request;
  • facilitate authorized sharing you enable; and
  • comply with law and enforce our agreements.

You represent and warrant that your User Content does not violate any law or third-party rights and that any content you provide about another person is shared lawfully and with appropriate consent.

5.Acceptable Use

You agree not to:

  • violate any law, regulation, court order, or third-party right;
  • use the Service for harassment, threats, coercion, stalking, abuse, or exploitation;
  • upload unlawful, defamatory, fraudulent, hateful, or privacy-invasive content;
  • impersonate another person or misrepresent affiliation;
  • access another user's account without authorization;
  • reverse engineer, scrape, or interfere with the Service except as permitted by law;
  • introduce malware, bots, or harmful code;
  • use the Service to facilitate unauthorized surveillance or coercive control of a partner; or
  • rely on the Service as a substitute for licensed medical, mental health, legal, or emergency services.

6.Sensitive Topics and Relationship Safety

Because the Service may involve adult relationship topics, emotional intimacy, or deeply personal reflections, you agree to use such features responsibly, lawfully, and respectfully.

The Service may not be used to facilitate coercion, abuse, trafficking, exploitation, or any non-consensual conduct. We reserve the right to take protective action if we reasonably believe platform misuse creates material risk to users or third parties.

7.Paid Features, Subscriptions, and Billing

Certain features may require payment or subscription. If so:

  • pricing, billing intervals, renewal terms, and refund rules will be disclosed before purchase;
  • you authorize us and our payment processor to charge the applicable amounts;
  • subscriptions may renew automatically unless canceled before the renewal date; and
  • we may change future pricing with notice where required by law.

Unless otherwise required by law or expressly stated at purchase, fees are non-refundable.

8.Intellectual Property

The Service, including its software, design, curriculum, assessments, content, graphics, branding, and related intellectual property, is owned by or licensed to the Company and is protected by applicable law.

Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.

9.Feedback

If you provide comments, ideas, feature requests, or suggestions regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, copy, modify, and incorporate that Feedback without restriction or compensation.

10.Third-Party Services

The Service may use or integrate with third-party products and services, including hosting, analytics, communications, payment processing, and identity providers. We are not responsible for third-party services, and your use of them may be governed by separate terms and policies.

11.Privacy and Sensitive Data

Your use of the Service is also governed by our:

  • Privacy Policy; and
  • Sensitive Data, Intimacy, and Health Information Consent, where applicable.

12.Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access immediately if:

  • you violate these Terms;
  • we reasonably believe your use creates risk, liability, or harm;
  • we suspect fraud, abuse, or a security incident; or
  • we discontinue all or part of the Service.

Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnity, and dispute provisions.

13.Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

We do not guarantee any specific relationship, emotional, therapeutic, health, educational, or commercial outcome from use of the Service.

14.Limitation of Liability

To the maximum extent permitted by law, CupidCompanies, its affiliates, officers, directors, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of: (1) the total amount you paid to us in the twelve months before the event giving rise to the claim; or (2) USD $100.

15.Indemnity

You agree to defend, indemnify, and hold harmless CupidCompanies and its affiliates, officers, directors, employees, and contractors from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of law or third-party rights.

16.Governing Law

These Terms are governed by applicable law, without regard to conflict-of-law principles, except to the extent mandatory consumer protection laws in your country of residence apply and cannot be waived.

If you are a consumer residing outside the United States, you may have legal rights under local law that these Terms do not limit.

17.Dispute Resolution

Before filing a formal claim, you agree to first contact us at support@cupidcompanies.com and attempt to resolve the dispute informally in good faith.

18.Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice by updating the date above and, where appropriate, by email or in-app notice. Your continued use of the Service after updated Terms become effective constitutes acceptance.
